Terms of Service

These terms govern your use of TSmartConnect. By connecting an account or using the service you agree to them.

Bracketed fields below are pending: the operating entity, its registered address and the governing law are supplied by the operator before this agreement is relied upon.

1. The agreement

This agreement is between you (or the organisation you represent) and [LEGAL ENTITY NAME], of [REGISTERED ADDRESS] (“we”, “us”).

If you accept these terms on behalf of an organisation, you confirm you are authorised to bind it.

2. What the service does

TSmartConnect reads data from the accounts you connect — QuickBooks Online, Shopify, Amazon — normalises it into one model, and presents it back to you. Where you ask it to, it also writes to those accounts: publishing a product you created, or recording a transaction.

It acts on your connected accounts on your instruction and with your credentials. You remain responsible for what is done under your account, including by anyone you invite to your workspace and by any API key you issue.

3. What it will not do

  • It will not write to a connected system that you have not connected for that purpose.
  • It will not sell your data or the personal data of your customers, and will not use it to train models.
  • It will not share your data with another customer. Data is scoped per workspace.
  • It does not process card payments on your behalf and does not touch your customers’ card details.

4. Your responsibilities

  • Keep your credentials and API keys confidential, and revoke a key you no longer need.
  • Use the service in line with the terms of the platforms you connect, including Intuit’s.
  • Do not attempt to access another customer’s data, probe the service for vulnerabilities without written permission, or use it to break the law.
  • Make sure you have the right to send us the personal data you connect, including your customers’.

5. Accuracy of accounting data

TSmartConnect reports figures derived from the systems you connect. It is not an accountant, an auditor or a tax adviser, and its output is not a substitute for your books of record or professional advice. Verify anything you rely on for filing, reporting or a financial decision against the source system.

6. Fees

Paid plans are billed in advance through Stripe on the interval shown at checkout. Charges recur until cancelled. You can cancel at any time from the billing portal; cancellation takes effect at the end of the period already paid for and we do not refund part-periods unless the law requires it.

If a payment fails we will continue serving your account while the card is retried rather than cutting you off immediately. If it remains unpaid the workspace reverts to the free plan; your data is not deleted for non-payment.

Plans carry volume limits. No capability is withheld from a paid plan on the basis of tier.

7. Availability

We aim to keep the service available and to sync on schedule, but we do not commit to a specific uptime figure unless we have agreed one with you in writing. The service depends on third-party APIs whose availability and rate limits are outside our control.

8. Termination

You may stop using the service at any time, disconnect any provider, and ask us to delete your data. We may suspend or terminate an account that breaches these terms, or where required by law or by a platform we integrate with — we will tell you why unless we are prevented from doing so.

On termination we delete your data as described in the Privacy Policy. You can export your data through the API before terminating.

9. Liability

To the extent the law allows, the service is provided as it is, without warranties, and we are not liable for indirect or consequential loss, lost profits, or loss of data beyond our reasonable control. Our total liability in any twelve-month period is limited to the fees you paid us in that period.

Nothing here limits liability that cannot lawfully be limited.

10. Changes and governing law

We may update these terms. Material changes will be announced on this page and, where they affect your rights, notified to account owners. Continuing to use the service after a change means you accept it.
